EQUIPMENT TRIAL AGREEMENT
This Equipment Trial Agreement (“Agreement”) is made and entered into as of sending the confirmation email to the primary email address between the ‘Provider’ and the ‘Organisation’:
1. The Provider:
Advanced Technical Solutions, having its principal place of business at Canberra, Australia.
2. Purpose
The Provider agrees to loan the equipment described in Schedule A (“Equipment”) to the Recipient for the sole purpose of evaluating its functionality, suitability, and performance in the Recipient’s operations.
3. Term of Trial
• The trial period shall be no more than 2 consecutive calendar months with any extension of the Trial Period agreed upon in writing by Advanced Technical Solutions (“Trial Period”).
4. Equipment Details
• The equipment provided for trial will be included in the confirmation email.

• The Equipment is provided with all necessary components and accessories for its intended use.
5. Conditions of Use
• The Recipient shall use the Equipment solely for evaluation and testing purposes.
• The Equipment shall not be modified, disassembled, or tampered with without the prior written consent of the Provider.
• The Recipient shall ensure that the Equipment is used in compliance with all applicable laws and regulations.
6. Security and Maintenance
• The Recipient shall take all reasonable steps to protect the Equipment from theft, damage, or unauthorised use.
• The Recipient shall promptly notify the Provider of any damage, malfunction, or issue affecting the Equipment.
7. Return of Equipment
• Upon termination or expiration of the Trial Period, the Recipient shall return the Equipment in the same condition as received.
• The Equipment must be returned to the Provider at Advanced Technical Solutions within 14 business days or an agreement as to the safe destruction.
• If the Equipment is lost, stolen, or damaged beyond normal wear and tear, the Recipient agrees to reimburse the Provider for the repair or replacement cost.
8. Liability and Indemnification
• The Provider makes no warranties, express or implied, regarding the Equipment.
• The Recipient assumes all risks associated with the use of the Equipment.
• The Recipient agrees to indemnify and hold harmless the Provider from any claims, damages, or liabilities arising from the use or possession of the Equipment.
9. Confidentiality
• Any proprietary information or trade secrets disclosed by the Provider to the Recipient in connection with this Agreement shall remain confidential.
• The Recipient shall not disclose, share, or distribute any such confidential information to third parties.
10. Ownership
• The Equipment remains the sole property of the Provider at all times.
• No title, interest, or rights to the Equipment are transferred to the Recipient under this Agreement.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Australia.
12. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral, regarding the subject matter herein.
